Terms of Service

These Terms of Service ("Terms") form a binding agreement between you ("you" or "User") and Timemap Software Private Limited, operating as Growati ("Growati", "we", "us", or "our"), governing your access to and use of our website, applications, APIs, browser extensions, and related services (collectively, the "Service").

By creating an account or using the Service, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, you must not access or use Growati.

1. Definitions

"Account" means your registered Growati user or workspace account.
"Connected Account" means a Google Account or YouTube channel you authorize Growati to access.
"User Content" means videos, images, text, prompts, metadata, and other materials you submit to or process through the Service.
"Generated Content" means thumbnails, titles, descriptions, chapters, metadata, or other output produced by Growati's AI tools based on User Content or prompts.
"Credits" means usage units, tokens, or allowances that may be consumed when using certain features.

2. Eligibility and Accounts

To use Growati, you must:

Be at least 18 years old, or the age of legal majority in your jurisdiction, and otherwise legally capable of entering into a binding agreement.
Not be a person barred from using the Service under applicable law, including export control, trade sanctions, or anti-money-laundering laws.
Provide accurate and complete registration information and keep it up to date.
Maintain the confidentiality of your account credentials and notify us promptly of any unauthorized use.
Be responsible for all activities conducted through your Account, including those of any collaborators you invite.

The Service is not directed to individuals under 18, and we do not knowingly permit use by anyone under that age. If we become aware of such use, we may suspend or terminate the relevant account.

If you create a team workspace or invite collaborators, you are responsible for managing their access, permissions, and actions, and for ensuring they comply with these Terms.

We may suspend or terminate accounts that violate these Terms or applicable law, subject to Section 10 (Suspension and Termination).

3. Use of the Service

Growati provides AI-powered tools that help automate YouTube post-production workflows, including but not limited to:

Thumbnail generation
Best frame selection
Title generation
Description generation
Chapter generation
Metadata optimization
Performance analysis
Automated publishing workflows

Depending on your settings, Growati may generate suggestions for your review or automatically apply supported changes to your Connected Account's YouTube content.

You remain solely responsible for all content published through your Account and for deciding whether to enable any automation feature.

We may modify, improve, add to, or discontinue features at any time, with notice where required under Section 14.

4. Google and YouTube API Services

Certain features require connecting a Google Account and YouTube channel ("Connected Account").

By connecting a Connected Account, you authorize Growati to access, retrieve, and modify permitted YouTube resources using Google's OAuth and the YouTube API Services, solely as necessary to provide the Service and as described in our Privacy Policy.

Your use of Growati is also subject to Google's and YouTube's applicable terms and policies, including:

Growati's use of information received from Google APIs adheres to the Google API Services User Data Policy, including the Limited Use requirements.

Growati does not collect or store your Google account password.

You may revoke Growati's access to your Connected Account at any time through your Google Account security settings. Revoking access may disable some or all features of the Service.

Some functionality may become unavailable due to changes, restrictions, outages, or quota limits imposed by Google, YouTube, or other third-party providers, and Growati is not responsible for such unavailability.

5. AI-Generated Content

Growati uses artificial intelligence to generate thumbnails, titles, descriptions, chapters, and other Generated Content based on your User Content and instructions.

AI-generated outputs may be inaccurate, incomplete, biased, or unsuitable for your intended purpose, and may occasionally resemble outputs produced for other users from similar inputs.

You acknowledge and agree that:

You are solely responsible for reviewing and approving Generated Content before publication, unless you intentionally enable automatic publishing.
You remain fully responsible for all content published to your YouTube channel or elsewhere, including Generated Content.
You are responsible for ensuring Generated Content does not infringe third-party rights or violate platform policies before publishing it.
Growati does not guarantee improvements in views, subscribers, engagement, revenue, rankings, or other performance metrics.
As between you and Growati, and subject to Section 8 (Intellectual Property), you may use Generated Content created from your own User Content for your own purposes; ownership and protectability of AI-generated material may vary by jurisdiction, and Growati makes no representation regarding the copyrightability of such content.

6. Acceptable Use

You agree not to:

Violate any applicable law or regulation.
Infringe another person's intellectual property, privacy, publicity, or other legal rights.
Upload or generate unlawful, fraudulent, abusive, defamatory, obscene, or harmful content, including content that exploits or endangers minors.
Attempt to gain unauthorized access to Growati, its systems, or other users' accounts or data.
Reverse engineer, decompile, interfere with, overload, scrape, or disrupt the Service.
Distribute malware, spam, or deceptive content through the Service.
Use the Service to circumvent YouTube's monetization, community, or content policies.

We reserve the right to investigate suspected violations, remove or disable access to offending content, suspend or terminate accounts, and cooperate with law enforcement where appropriate.

7. Intellectual Property Complaints

If you believe content processed through the Service infringes your intellectual property rights, you may notify us at team@growati.com with sufficient detail to identify the material and your rights. We will review and may remove or disable access to the relevant content and take action against repeat infringers, in accordance with applicable law.

8. Intellectual Property

You retain ownership of your videos, uploads, prompts, and other User Content that you provide to Growati.

You grant Growati a limited, non-exclusive, worldwide, royalty-free license to host, process, reproduce, transmit, and transform your User Content solely to operate, provide, maintain, and improve the Service for you.

Where you provide feedback, suggestions, or ideas about the Service, you grant Growati a perpetual, irrevocable, royalty-free license to use them without restriction or obligation to you.

Growati may use de-identified or aggregated data derived from use of the Service for analytics, security, and service improvement purposes, in a manner that does not identify you or your channel.

Growati and its licensors retain all rights, title, and interest in the Service, including its software, models, algorithms, branding, interfaces, documentation, and underlying technology. Nothing in these Terms transfers any such rights to you.

9. Billing, Credits, and Payments

Growati may offer subscriptions, usage-based Credits, or other pricing models.

Unless otherwise stated:

Certain actions consume Credits or usage allowances.
Credits may be deducted when eligible processing begins or completes, regardless of whether the output is ultimately used or published.
Subscriptions, where offered, renew automatically for successive periods at the then-current price unless cancelled before the renewal date through your account settings.
You may cancel a subscription at any time; cancellation takes effect at the end of the current billing period, and no partial-period refund will be provided except where required by applicable law.
Purchased Credits and subscription fees are otherwise non-refundable except where required by applicable law.
Pricing and plans may change prospectively with notice as described in Section 14.

Payments may be processed by third-party payment providers, whose terms also apply to your transactions. Growati does not store full payment card details.

You are responsible for any taxes, duties, or government charges associated with your purchases.

10. Suspension and Termination

We may suspend or terminate your access to the Service, in whole or in part, if:

You violate these Terms.
Your use creates legal, security, or operational risk to Growati, our users, or third parties.
We are required to do so by law or by a third-party provider (such as Google or YouTube).
You fail to pay applicable fees.

Where practical, we will provide notice of suspension or termination and an opportunity to remedy the issue, except where immediate action is necessary to prevent harm or comply with law.

You may stop using Growati and close your Account at any time.

Effect of termination: Upon termination, your right to use the Service ends immediately. We may delete your Account data, including User Content and Generated Content stored on our systems, after a reasonable retention period, except where we are required to retain it by law. Sections of these Terms that by their nature should survive termination (including Sections 8, 11, 12, 13, and 16) will survive.

11. Disclaimer and Limitation of Liability

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:

Growati disclaims all implied warranties, including merchantability, fitness for a particular purpose, accuracy, and non-infringement.
Growati is not responsible for AI-generated errors, automation outcomes, or actions taken by you or on your behalf based on Generated Content.
Growati shall not be liable for indirect, incidental, consequential, special, exemplary, or punitive damages, including loss of profits, revenue, data, goodwill, or business opportunities, arising out of or relating to the Service.
Growati's total aggregate liability arising out of or relating to the Service shall not exceed the greater of (a) the amount you paid to Growati in the twelve (12) months preceding the event giving rise to the claim, or (b) ₹5,000 (or the equivalent in your local currency).

Nothing in these Terms limits or excludes liability for fraud, willful misconduct, or any other liability that cannot be limited or excluded under applicable law.

Some jurisdictions do not allow certain exclusions or limitations of liability, so portions of this section may not apply to you, and you may have additional rights.

12. Indemnification

You agree to defend, indemnify, and hold harmless Growati, its affiliates, directors, officers, employees, and contractors from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising from or relating to:

Your use of the Service.
Your User Content or Generated Content published or distributed by you.
Your violation of these Terms.
Your violation of applicable law or third-party rights, including the rights of YouTube, Google, or other platform providers.

13. Privacy

Your use of Growati is also governed by our Privacy Policy, which describes how we collect, use, and share information, including data from Connected Accounts.

By using the Service, you consent to the processing of your information and Connected Account data as necessary to provide the requested functionality.

You represent and warrant that you have all necessary rights, consents, and permissions for any User Content you submit to Growati, including rights to any third-party material, likenesses, or copyrighted works contained in it.

14. Changes to the Service and These Terms

We strive to provide a reliable Service but do not guarantee uninterrupted, timely, secure, or error-free operation. We may temporarily suspend, modify, or discontinue features for maintenance, security, technical, or business reasons.

We may update these Terms from time to time. If we make material changes, we will provide notice by posting the updated Terms on our website and updating the "Last Updated" date, and, where required by law, by additional means such as email or in-app notice. Continued use of Growati after updated Terms become effective constitutes your acceptance of the revised Terms. If you do not agree to the revised Terms, you must stop using the Service.

15. General Provisions

Governing Law. These Terms are governed by the laws of India, without regard to conflict-of-law principles.

Dispute Resolution. Any dispute arising from these Terms or your use of the Service shall first be addressed through good-faith negotiation by contacting us at team@growati.com. If unresolved within thirty (30) days, the dispute shall be subject to the exclusive jurisdiction of the competent courts located in India.

Force Majeure. Growati shall not be liable for any failure or delay in performance resulting from causes beyond its reasonable control, including acts of God, internet or utility failures, or third-party service outages (including Google or YouTube outages).

Assignment. You may not assign or transfer these Terms or your Account without our prior written consent. We may assign these Terms in connection with a merger, acquisition, reorganization, or sale of assets.

Severability. If any provision of these Terms is held unenforceable, the remaining provisions will remain in full force and effect.

Entire Agreement. These Terms, together with our Privacy Policy and any other policies referenced herein, constitute the entire agreement between you and Growati regarding the Service and supersede any prior agreements.

No Waiver. Our failure to enforce any right or provision of these Terms will not be considered a waiver of that right or provision.
